There are many forms that a contract for outside corporate compliance officers can take.   They vary greatly, because corporations and their needs vary greatly.

A smaller organization may need nothing more than periodic visits, on an hourly or daily compensation basis, to implement a simple system.  

A larger corporation may need something like the following.  It is put forth here simply to give you an idea of the range of services that can be performed, to relieve your own staff.   What we provide is tailored to what you need.

RE: Consulting Compliance Officer Project Proposal - Preliminary.

BOC is pleased to provide for your consideration a preliminary Consulting Compliance Officer Project Proposal.

Based on our telephone discussion earlier this week, we recommend the following approach to the project.

A permanent team to be assigned, consisting of two Corporation personnel and two BOC consultants.  (This is what we discussed, but if you have now decided that one or three BOC consultants are better, remember that we can provide ethics consultants who are professors of ethics or persons with past full time job experience as business compliance officers, so if we can at any time change the number as you require.)

BOC to provide analysis forms to Corporation for review and possible customization in advance of the analysis start.

BOC and top management of Corporation will discuss the corporation's goals and a mutually acceptable time schedule for the analysis. 

Bucklin will meet with Corporation's attorney, and under his/her direction, develop a preliminary list of legal compliance items which should be in the Corporation's procedures. 

BOC will develop and submit to the Corporation a routine process for use at each site to be analyzed, listing actions and team member responsibilities.

Corporation to develop a mutually acceptable time schedule for all facilities as follows:

a) Corporation to list all sites (site liaisons to be included).

b) Corporation to co-ordinate the schedules with all sites to assure:

i) Receipt of all required information by BOC at least 15 days weeks in advance of each scheduled visit.

ii) A minimum of 15 days advance scheduling notice for travel considerations.

iii) Proper scheduling of all on-site meetings.

BOC to visit each site and analyze the legal compliance and ethics systems and actual performance, including the use of  interviews, review of procedures and manuals and documentation.

BOC to consolidate all analysis results into a preliminary report.

Team to meet with Corporation CEO to present report, and request authority to proceed to implement Corporate Legal Compliance and Ethics Plan.

BOC to train and assist your permanent in-house team in implementation of report suggestions, and implementation of the Corporate Legal Compliance and Ethics Plan.

BOC to be available on an on-call or scheduled basis, for management to report and discuss items of concern.
